1.2 For the purposes of these Terms of Service, "we" refers to Sophora Déco, "you" refers to the customer, and "both parties" refers to the customer and Sophora Déco.

Accessing or using any functionality of the website signifies your agreement to be bound by these Terms of Service. If you do not accept these Terms of Service, you may not be able to access the website or use any functionality.

It is your responsibility to regularly check for changes to the Terms of Service, and continuing to access or use any functionality of the website after the new terms are published indicates your acceptance of these new terms.

1.6 You may not use our website for any illegal or unauthorized purposes, nor may you violate any laws in your jurisdiction when using any functionality of the website.

Products

2.1 The applicability of these Terms of Service defines the conditions under which we sell products to customers, thereby governing the entire sales process from the customer placing an order to the delivery of the product to the customer.

2.2 The Terms of Service applicable to an order are those in effect on the website on the day the customer places the order. Placing an order for any product implies the customer's full acceptance of the Terms of Service in effect at the time of the order. You can always review the latest version of the Terms of Service on this page.

2.3 The products for sale are those displayed on the Sophora Déco website on the day of the customer's inquiry. Each product is accompanied by a description sheet that includes photos, prices, headings, available sizes (we offer three standard sizes for curtains, and custom sizes are also available upon request), colors, materials, patterns, weights, and quantities. There may be minor differences between the product and its photos, particularly depending on the user's screen color gamut, resolution, and color definition.

2.4 Sophora Déco commits to delivering products in compliance with EU regulations, especially those pertaining to controlled chemical substances, ensuring that they meet the requirements related to human safety and health.

Price

3.1 The product prices are expressed in US Dollars and include taxes and standard express shipping fees. The value-added tax (VAT) applied is the VAT in effect within the territory of the United States on the day the order becomes effective.

3.2 The total price is displayed on the Sophora Déco website and is confirmed to the customer upon order verification. The settlement price, conveyed to the customer in the form of an order summary before order confirmation, is calculated based on the product price, expedited express shipping fees, and applicable product discounts.

3.3 We reserve the right to change product prices at any time, and any changes to our product prices will not be separately notified.

3.4 We commit to using the prices displayed on the website at the time of your order. However, if a product price is displayed incorrectly or at an obviously absurd (low) price for any reason, such as computer errors, manual input errors, technical glitches, etc., the order will be canceled even after our confirmation, and you will be notified promptly. Of course, if you wish, you will have the option to place a new order at the corrected and accurate price.

Ordering

4.1 The customer can place an order by following these steps:

• Step 1 : The customer selects the desired items and adds them to the shopping cart.
• Step 2 : The customer provide their shipping address and shipping method. Sections marked with "*" are mandatory, and unless specified otherwise by the customer, the billing address will be the same as the shipping address.
• Step 3 : We support online payment by credit card (please note that all payments can be made in USD, EUR, GBP, CHF), customers must enter the cardholder, card number, expiry date and 3 visual passwords on the back of the card to finalize the order.

4.2 The customer confirmation and payment constitute a sales contract between us and the customer, subject to the terms of service.

4.3 We reserve the right to refuse any order placed by you at any time, particularly in the following circumstances:

• Excessive or abusive complaints;
• Unusually high order quantities;
• Excessive or abusive return and exchange services;
• Ongoing disputes with the customer.

Payment

5.1 We support various online payment methods, including PayPal, Visa, MasterCard, Maestro, American Express, Discover Card, Diners Club, and more.

5.2 Credit Card and Debit Card Payments: We accept Visa and MasterCard, subject to approval through our fraud detection system. We also accept American Express, JCB, Diners Club, Visa Debit, and some electronic payment methods for specific countries or regions. Our system will automatically display credit card options suitable for your country or region on the checkout page, and you will be redirected to the website of a third-party credit card/debit card payment partner for processing.

5.3 PayPal Payments: We accept PayPal payments for specific countries or regions. When you use PayPal's online storage and payment functionality, our system will automatically display PayPal as a payment option on the checkout page for customers in eligible countries or regions. If the currency of your PayPal account differs from the currency of the specific country or region, you may incur exchange rate losses.

5.4 During the process of data exchange for payment processing over the internet, all information is encrypted using Secure Socket Layer (SSL) for security. This ensures that third parties cannot detect, intercept, or utilize this data.

Shipping

6.1 The delivery time for products consists of two parts: production time and shipping time. You can choose the start date of production and the delivery date to determine when you will receive the products.

6.2 After placing an order, we will customize the products based on the size you've chosen, with an estimated production time of 7 to 14 business days.

6.3 There are two delivery options: standard express and expedited express. The estimated shipping time for standard express is 7 to 10 business days, while expedited express has an estimated shipping time of 4 to 6 business days.

6.4 The delivery times displayed on the website are only estimates, and we do not guarantee specific delivery dates. Actual delivery times may vary based on specific circumstances.

6.5 For delays or non-delivery resulting from actions or situations beyond our control (including but not limited to COVID-19, supplier delays, adverse weather, natural disasters, government actions, war, invasion or hostile acts, riots or civil unrest, strikes, power outages, telecommunication failures, or other events beyond reasonable control), Sophora Déco bears no responsibility or obligation, and it will not be considered a breach of contract.

6.6 You must provide accurate recipient shipping addresses and phone numbers and sign for the delivery. Failure to do so may result in reshipment costs.

6.7 Transfer of Risk: The risk of damage, loss, and deterioration of the products transfers to you upon delivery and receipt of the products.

Inspection of Goods

7.1 You are required to inspect the received products for compliance with your requirements at the time of delivery. Any exceptions related to the delivery, such as damaged packaging, missing products, damaged products, products not matching the order, or any other anomalies, must be reported to us within the legal time frame following the delivery. After this period, unless there are hidden defects in the products, they will be considered as compliant.

Warranty

8.1 The warranty period for the products and their accessories is 1 years, starting from the date you receive the products.

8.2 During the warranty period, we provide warranty services for products rendered unusable due to inherent defects (such as design defects, fabric damage, loose threads, etc.). If the product you purchased cannot be used normally within the warranty period due to product defects, we will repair or replace your product. You agree that, under this provision, this is your sole remedy.

8.3 Products rendered unusable due to misuse, abuse, accidents, modifications, normal wear and tear, exposure to natural elements, high humidity, or failure to follow usage and maintenance instructions are not covered by the warranty. Specifically, but not limited to, this includes the following circumstances:

• Fabric wear and tear, natural fading, minor color variations, exposure to salt-laden air, damage by insects or pets, fabric discoloration or creasing due to exposure to sunlight (unless the product is deliberately exposed to such conditions, which would reduce its lifespan);
• Routine maintenance of motorized curtains and their accessories, including charging and battery replacement;
• Various types of damage caused by the removal or reinstallation of curtains on the same window or different windows;
• Products rendered unusable due to your measurement errors or failure to follow the product installation instructions.

8.4 These Conditions apply only to the original customer, if you sell or transfer the Goods, the Sophora Déco warranty obligations cease.

8.5 If you require warranty service, please include your name, address, description of the problem, order date and date of the problem, send an e-mail to contact@sophoradeco.com, and we will arrange a repair service as soon as possible.

Shipping, Tariffs, Duties, and Taxes

9.1 Shipping

Sophora Déco provides worldwide delivery services. The recipient specified on the shipping address will be the importer of the purchased products and must comply with all laws and regulations of the destination country/region. All items purchased from Sophora Déco are made under a shipping contract, which means the risk of loss and ownership of such items transfers to the buyer after we have delivered them to the carrier.

9.2 Tariffs, Duties, and Taxes

Purchased products may be subject to import duties, customs, and taxes levied by the destination country or state once the goods arrive in the recipient's country/region. It is the responsibility of the recipient to contact local customs for more information. Clearance procedures, when required, may lead to delays beyond the original delivery estimates provided by Sophora Déco. Sophora Déco covers most of the customs clearance fees, but in cases of samples and individual special circumstances, these fees may need to be borne by the recipient specified on the shipping address. Sophora Déco has no control over these charges and cannot predict what they may be.

12.2 For acts or circumstances beyond the Sophora Déco control, including but not limited to COVID-19, supplier delays, adverse weather conditions, natural disasters, government actions, war, invasion or hostile acts, riots or civil unrest, strikes, power outages, telecommunication failures, or other events beyond reasonable control, resulting in the non-fulfillment of all or part of the obligations under customer orders, Sophora Déco bears no responsibility or obligation, and it will not be considered a breach of contract.

Compensation

13.1 You agree that, for any claims or demands arising from your violation of these Terms of Service, misuse of the service, or violation of any laws, whether initiated by third parties or otherwise, you will indemnify, compensate, and hold Sophora Déco harmless from any third-party claims, liabilities, damages, losses, and expenses, including but not limited to reasonable legal and accounting fees.

Applicable law and dispute resolution

14.1 All disputes and claims arising from or related to these Terms or the performance thereof shall be governed by and construed in accordance with the laws of the United States.

14.2 In the event of a dispute or claim, the customer shall first seek an amicable resolution with Sophora Déco. If the parties fail to reach an agreement on a resolution, the matter shall be subject to the jurisdiction of the competent courts under common law.

Others

15.1 These Terms of Service, together with the Privacy Policy and Return and Exchange Policy, constitute the entire agreement and understanding between the customer and Sophora Déco, governing the use of any feature or service on the Sophora Déco website.

15.2 If any provision of these Terms of Service, the Privacy Policy, or the Return and Exchange Policy is determined to be invalid, illegal, or unenforceable by a court of law, it shall not affect the validity or enforceability of the other provisions.
